Terms of Service

By accessing or using Sovi ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Mengel Enterprises LLC ("Company," "we," "us," or "our"), a Michigan limited liability company.

We reserve the right to update these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes constitutes acceptance.

Sovi is a personal operating system SaaS application that provides task management, goal tracking, journaling, habit tracking, financial tracking, calendar integration, AI assistance, and related features.

The Service is provided "as is" and we may modify, update, or discontinue features at any time with reasonable notice.

Certain features require third-party integrations (e.g., Google Calendar, Plaid, Oura). Use of those integrations is subject to the third parties' terms of service.

You must create an account to use Sovi. You agree to provide accurate, current, and complete information during registration.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account.

One person may not maintain more than one trial account. We reserve the right to terminate duplicate accounts.

Sovi is a paid subscription service. New accounts begin with a free trial, after which a paid plan is required to continue. Plans are billed through Stripe, our third-party payment processor.

Subscriptions are billed monthly or annually, depending on your selected billing interval. Your subscription renews automatically at the end of each billing period unless you cancel.

Prices are stated in US dollars and are subject to change with 30 days' notice to existing subscribers.

Refunds: we offer a full refund within 7 days of the initial purchase of a paid plan. After 7 days, all sales are final and no refunds will be issued for the current billing period. Unused time on a cancelled subscription is not refunded.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.

Payment processing is subject to Stripe's terms of service. We do not store your payment card information.

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of others; (c) transmit harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content; (d) attempt to gain unauthorized access to the Service or its infrastructure; (e) reverse engineer, decompile, or disassemble any part of the Service; (f) use automated means (bots, scrapers, crawlers) to access the Service without our prior written permission; (g) resell or sublicense the Service without authorization.

The Service, including its software, design, and content, is owned by Mengel Enterprises LLC and protected by copyright, trademark, and other applicable laws.

You retain ownership of all content you create and store in Sovi (tasks, journal entries, notes, decisions, etc.). By using the Service, you grant us a limited license to store and process your content solely to provide the Service.

We do not use your personal content to train AI models. Your data belongs to you.

"Sovi" and the Sovi logo are trademarks of Mengel Enterprises LLC. You may not use our trademarks without prior written permission.

You may terminate your account at any time from your account settings. Upon termination, your data will be deleted within 30 days.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice (except in cases of serious violations, where we may act immediately).

Upon termination, your right to use the Service ceases. Provisions of these Terms that by their nature should survive termination will survive (including intellectual property, limitation of liability, and governing law).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

Financial data displayed in Sovi (via Plaid) is provided for informational purposes only and should not be considered financial advice.

AI-generated content (daily briefs, meeting prep, drafts) is provided for assistance only. You are responsible for reviewing and verifying any AI-generated content before acting on it.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENGEL ENTERPRISES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction in those courts.
